Sole Trader Accounting Services FAQs

Does the partnership itself pay federal income tax?

In the USA, partnerships are generally "pass-through" entities. This means the partnership itself does not pay federal income tax. Instead, the profits and losses "pass through" to the individual partners, who report them on their own tax returns. However, the partnership is still required to file an information return (Form 1065).

How are "Guaranteed Payments" to partners handled?

If a partner is paid for services rendered to the partnership regardless of profit levels, these are considered "Guaranteed Payments." We track these separately from profit distributions, as they are deductible for the partnership and treated as ordinary income for the receiving partner.

What happens if a partner joins or leaves mid-year?

When membership changes, we perform a "closing of the books" or use an "allocation method" to ensure income and losses are correctly divided based on the duration of each partner's ownership during the fiscal year. We ensure all basis adjustments are handled according to IRS regulations.

Can BestFiler help with Section 754 elections?

Yes. If there is a transfer of partnership interest or a distribution of property, a Section 754 election can be highly beneficial for adjusting the "basis" of partnership assets. We provide the technical analysis to determine if this election will provide tax advantages for your specific situation.
